Terms of Service

1. Agreement

These Terms of Service ("Terms") are a legal agreement between you and Rise & Reign Music Inc. governing your use of LyricRiff AI ("LyricRiff", the "Service"). By creating an account, signing in, purchasing a subscription or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use LyricRiff.

2. Eligibility and accounts

You must be at least 13 years old to use LyricRiff. If the law where you live requires parental or guardian consent for a minor to use an online service, you must have that consent. You are responsible for providing accurate account information, safeguarding your credentials and activity under your account. You may not impersonate another person or use the Service unlawfully.

3. LyricRiff is a creative tool

LyricRiff provides songwriting, editing, analysis, AI-assisted generation, music preview and related creative tools. AI output can be inaccurate, incomplete, similar to material generated for others, or unsuitable for your intended use. You are responsible for reviewing, editing and deciding whether to use or publish any output. LyricRiff does not provide legal advice and does not guarantee that output is copyrightable, original, non-infringing, commercially successful or eligible for registration.

4. Your content

As between you and Rise & Reign Music Inc., you retain the rights you have in content you submit to LyricRiff, including your lyrics, prompts, notes and creative materials ("Your Content"). You grant us a limited, non-exclusive license to host, store, copy, transmit, process, display and otherwise use Your Content only as reasonably necessary to operate, secure, support and improve the Service and to perform the features you request. This license ends when the content is deleted from our active systems, subject to reasonable backup, security and legal retention.

5. AI-generated output

To the extent permitted by applicable law and subject to any third-party rights, we do not claim ownership of the specific AI-generated output delivered to you through your LyricRiff account. Laws concerning ownership and copyright protection for AI-assisted material vary and may change. You are responsible for determining what rights, if any, apply to output and for ensuring your use does not violate another person's rights.

6. Acceptable use

You may not use LyricRiff to violate law or third-party rights; upload or request content you do not have the right to use; deliberately reproduce or distribute infringing copyrighted lyrics; bypass security, access controls, quotas or subscription restrictions; probe or disrupt the Service; introduce malicious code; scrape or reverse engineer the Service except where applicable law expressly permits it; misuse another person's account; or use LyricRiff to facilitate fraud, exploitation, threats or other unlawful harm. We may restrict or suspend access when reasonably necessary to protect the Service, users or third parties.

7. Subscriptions and billing

LyricRiff offers Free and paid Premium access. Paid LyricRiff subscriptions are billed in U.S. dollars through Stripe at the price and billing interval shown at checkout. Unless cancelled, a recurring subscription renews automatically at the applicable recurring rate. You authorize the payment provider to charge the payment method associated with your subscription. Taxes may apply where required.

A Founding Premium rate, when offered and shown at checkout, remains available only while the qualifying subscription stays continuously active. Cancelling or allowing that subscription to end may permanently end eligibility for the founding rate.

8. Cancellation and refunds

You can manage or cancel a LyricRiff Premium subscription through the billing controls in Settings. Unless otherwise required by applicable law or expressly stated at the time of purchase, subscription charges already paid are non-refundable and we do not provide credits for partially used billing periods. Cancelling through normal billing controls generally stops future renewal while access continues for the paid period reflected by the payment provider. Permanently deleting your LyricRiff account cancels an active Stripe LyricRiff subscription as part of the deletion process and removes access immediately.

9. Optional third-party offers

LyricRiff may display optional products or member offers, including The REIGN Method™, that are purchased or fulfilled through third-party platforms such as Whop. Any separate purchase is subject to the terms, price and refund information presented for that transaction in addition to any applicable third-party terms.

10. Third-party services

LyricRiff relies on third-party services, including Base44, Stripe, Google, ElevenLabs and Whop. Their availability and processing may affect features of LyricRiff. Third-party services are governed by their own terms and policies, and we are not responsible for third-party services outside our reasonable control.

11. Copyright concerns

You must respect intellectual-property rights. If you believe content made available through LyricRiff infringes your copyright, contact us with enough information to identify the work, the allegedly infringing material, your contact information, a good-faith statement regarding the disputed use, and confirmation that the information you provide is accurate. We may remove or restrict material where appropriate.

12. Service changes and termination

We may add, remove or modify features, limits and integrations as the Service evolves. We may suspend or terminate access for material violations of these Terms, fraud, abuse, security risks, legal requirements or non-payment. You may stop using LyricRiff at any time and may permanently delete your account from Settings.

13. Disclaimers

To the maximum extent permitted by law, LyricRiff is provided "as is" and "as available" without warranties of merchantability, fitness for a particular purpose, non-infringement or uninterrupted availability. We do not warrant that AI output, similarity reviews, quality analyses, creation timestamps or other creative tools will establish ownership, originality, copyright status or legal clearance.

14. Limitation of liability

To the maximum extent permitted by applicable law, Rise & Reign Music Inc. and its directors, officers, employees and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or opportunities arising from LyricRiff. To the maximum extent permitted by law, our aggregate liability for claims relating to the Service will not exceed the greater of CAD $100 or the amount you paid directly for LyricRiff during the 12 months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot legally be excluded.

15. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Subject to any rights you have under mandatory consumer-protection law, disputes relating to these Terms or LyricRiff will be brought in the courts located in Ontario, Canada.

16. Changes to these Terms

We may update these Terms as LyricRiff changes. We will post the revised Terms here and update the effective date. If a change materially affects your rights, we will provide additional notice where required by law. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law.
